CentryOS Terms and Conditions

1.

Relationship

1.1

CENTRYOS provides blockchain-based financial infrastructure services ("Services") to businesses, marketplaces, and individuals. By using our Services, you agree to these Terms and Conditions.

1.2

You must be a recognized entity or person to use the Services. If you're using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms and Conditions.

1.3

To use the Services, you may need to provide information such as your name, email, phone number, and other identifying details. You agree to provide accurate and complete information and to keep this information up to date.

1.4

You authorize CENTRYOS to verify your information. We may deny or provide limited access to Services or close your account if we cannot verify your information.

1.5

CENTRYOS offers an application programming interface (“API”), software development kit (“SDK”) and widgets to render services, retrieve information from or submit requests. If you use the provided services to develop applications or integrate our Service into your website or mobile application, then the users that these applications or integrations serve are subject to the terms of this Agreement.

2.

Services Provided

2.1

CENTRYOS offers blockchain-based financial infrastructure services, including but not limited to:

  • Digital wallets
  • Payment processing
  • Currency and cryptocurrency exchange
  • Vaults and escrows
  • Cross-border transactions
  • Tokenized asset management
2.2

CENTRYOS operates on various blockchain networks, including Ethereum Virtual Machine (EVM) compatible networks. We may expand to other networks in the future.

2.3

CENTRYOS APIs, SDKs, and widgets to allow integration of our Services into your platforms or applications.

3.

Your Responsibilities

3.1

You are responsible for maintaining the security of your account credentials and for any activity that occurs under your account.

3.2

You agree to comply with all applicable laws and regulations, including those related to financial services, cryptocurrency, and data protection.

3.3

You will not use the Services for any illegal activities or prohibited businesses, including but not limited to money laundering, terrorist financing, or fraud.

3.4

Notwithstanding CENTRYOS assistance in understanding the Operating Regulations and Network Rules, you expressly acknowledge and agree that you are assuming the risk of compliance with all provisions of the Operating Regulations, Network Rules and Governance Protocols of CENTRYOS and partner networks, regardless of whether you have possession of those provisions. We can provide you with excerpted provisions of the provisions upon your request.

3.5

CENTRYOS facilitates payments based on the instructions provided by the originator of the payment. In doing so, it does not assume liability for fraud, either on the originator side or the receiver side. CENTRYOS will use commercially reasonable methods to ensure delivery of the payment(s) per the instructions supplied by the originator of such payment(s). CENTRYOS is not responsible for incorrect disbursement/collection of payment(s) on the recipient side as long as CENTRYOS attempted to follow payment instructions supplied by the originator of the payment(s). Specifically, CENTRYOS is not responsible for fraud, mis-disbursement or other wrongful disposition of funds should the recipient attributes/account be hacked or the recipient’s security or privacy be compromised.

4.

E-Sign Disclosure and Consent

4.1

By accepting this Agreement, you agree and consent to receive electronically all communications, agreements, documents, notices and disclosures (collectively, “Communications”) that we provide in connection with your CENTRYOS Account and your use of the Service.

4.2

We will provide these Communications to you by emailing them to you at the primary email address listed in your CENTRYOS Account registration, by emailing you a link or instructions on how to access them on a website, or (if permitted by law) by posting them on the Website

5.

Fees and Payments

5.1

CENTRYOS charges fees for its Services as outlined in our Fee Schedule, which may be updated from time to time. By continuing to use the Services, you agree to the current fees.

5.2

Fees may be deducted directly from the transactions you process or charged to your account.

5.3

You authorize CENTRYOS and its financial service partners to process payments and move funds on your behalf as necessary to provide the Services.

6.

Transactions

6.1

Upon the release of transaction information, a Payor will be debited or charged. You agree that the Payor's obligation to the recipient is treated as paid after processing has been initiated and the transaction enters the “Completed” status. After the initiation of processing, you agree not to attempt to collect or otherwise seek payment from the Payor, because you agree that Payor's obligation to you has been conclusively discharged. Transactions may stay in a “Pending” state before “Completed” for processing or risk purposes. Transactions in this state should not be treated as paid until they are “Completed”.

6.2

Where applicable and when interfacing with centralized partner networks, transactions may be disputed by the Payor at any time up to the number of days stipulated in applicable Network regulations from the date the transaction appears in the Payor's bank account. Disputes resolved in favor of the Payor may result in reversal of the disputed transaction, regardless of state.

6.3

CENTRYOS may limit or restrict transaction size or volume at any time for risk management purposes. Requests to increase these limits can be processed through Customer Support.

7.

Payouts to Centralized Networks

7.1

Payouts and withdrawals may be limited or delayed based on your perceived risk and history.

2.2

Should CENTRYOS partners need to conduct an investigation or resolve any pending dispute related to your Account, payout may be deferred.

7.3

Partners may defer payout or restrict access to funds as required by law or court order, or if otherwise requested by law enforcement or governmental entities.

7.4

If partners suspect future chargebacks or disputes as a result of transactions to your Account, partners may defer payout and/or restrict access to funds until the risk of receiving a chargeback or dispute has passed.

8.

Liability for Chargebacks on Centralized Networks

8.1

The amount of a payment may be charged back to you if (a) it is disputed by a Payor, (b) it is reversed for any reason, (c) it was not authorized or we have any reason to believe that the transaction was not authorized, or (d) it is unlawful, suspicious, or in violation of the terms of this Agreement. You are responsible for all chargebacks, whether or not the chargeback complies with the Operating Regulations.

8.2

You owe CENTRYOSand will immediately pay CENTRYOS the amount of any chargeback and any associated Fees, fines, or penalties assessed by our partner Networks. If you do not have sufficient funds in your Account, CENTRYOS may seek additional remedies. If you have pending chargebacks, CENTRYOS through its FSP may delay payouts to you.

8.3

If CENTRYOS determines that you are incurring an excessive amount of Chargebacks, CENTRYOS may establish controls or conditions governing your Account, including without limitation, by (a) assessing additional Fees, (b) creating a Reserve in an amount reasonably determined by CENTRYOS to cover anticipated chargebacks and related fees, (c) delaying payouts, and (d) terminating or suspending the Service or closing your Account.

8.4

You agree to assist CENTRYOS when requested, at your expense, to investigate any of your transactions processed through the Service. To that end, you permit CENTRYOS to share information about a chargeback with the Payor, the Payor's financial institution, and your financial institution in order to investigate and/or mediate a chargeback.

9.

Taxes

You are responsible for determining any and all taxes assessed, incurred, or required to be collected, paid, or withheld, in connection with your use of the Service. You are solely responsible for collecting, withholding, reporting and remitting correct any taxes to the appropriate tax authority. CENTRYOS is not obligated to, and will not, determine whether taxes apply, or calculate, collect, report or remit any taxes to any tax authority arising from your use of the Service.

10.

Regulatory Compliance

10.1

CENTRYOS takes the privacy and security of your data seriously. We implement industry-standard security measures to protect your information.

10.2

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.3

For any payment card data transmitted to us, we maintain PCI DSS compliance to the extent applicable.

11.

Intellectual Property

11.1

CENTRYOS retains all rights, title, and interest in the Services, including all related intellectual property rights.

11.2

We grant you a limited, non-exclusive, revocable license to use our Services as permitted by these Terms.

12.

Limitation of Liability

12.1

To the maximum extent permitted by law, CENTRYOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, arising out of or in connection with these Terms or the Services.

12.2

Our total liability for any claim arising from these Terms or the Services shall not exceed the amount of fees paid by you to CENTRYOS in the three (3) months preceding the claim.

13.

Indemnification

You agree to indemnify and hold CENTRYOS harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services or violation of these Terms.

14.

Termination

14.1

You may terminate your account at any time by contacting CENTRYOS and ceasing use of the Services.

14.2

CENTRYOS may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms.

14.3

Upon termination, you remain liable for all outstanding obligations related to your use of the Services.

15.

Changes to Terms

CENTRYOS will provide notice of significant changes to these Terms and Conditions. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

16.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of identified Jurisdiction. Any disputes arising from these Terms or the Services shall be resolved through binding individual arbitration.

17.

Miscellaneous

17.1

These Terms constitute the entire agreement between you and CENTRYOS regarding the Services.

17.2

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.3

CENTRYOS's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

By using CENTRYOS's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
